These Terms of Use (“Terms”) govern your access to and use of the GoodPass mobile application, websites, and related services (collectively, the “Service”) provided by GoodPass LLC (“GoodPass,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) The Service
GoodPass is a membership platform that helps members discover and redeem offers from participating businesses (“Merchants”). GoodPass does not provide the Merchant’s goods or services and is not a party to transactions between you and a Merchant.
2) Eligibility and Age Restrictions
You must be at least 18 years old (or the age of majority where you live) to purchase a membership.
You agree to provide accurate information, including your birthdate, and to keep it updated.
Alcohol and cannabis offers are prohibited on GoodPass.
The Service may include age-gated experiences or content (for example, restricting certain categories to users who are 21+). If you are under 21, you may be restricted from viewing or using those portions of the Service.
3) Accounts
To use certain features, you may need to create an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
We may suspend or terminate accounts that violate these Terms or misuse the Service.
4) Memberships, Billing, and Cancellation
GoodPass memberships may be offered monthly, annually, or otherwise as presented at checkout.
Payments: Payments are processed by a third-party payment processor (currently Stripe). You authorize GoodPass and Stripe to charge your selected payment method for subscription fees and any charges disclosed at checkout.
Auto-renewal: Unless otherwise stated, subscriptions renew automatically until canceled.
Cancellation: You can cancel at any time through your account settings or the method shown during signup. Cancellation stops future renewals but does not retroactively refund already-paid periods unless required by law.
Refunds: Except where required by law or explicitly offered in writing by GoodPass, subscription fees are non-refundable.
Price changes: We may change pricing with notice as required by law. Changes apply at the next renewal after notice.
5) Offers, Redemption Rules, and Merchant Responsibility
Offers are provided by participating businesses (“Merchants”) and may have additional terms, limitations, eligibility requirements, and expiration dates (“Offer Terms”). Offer availability and Offer Terms can change at any time.

You agree that:
Some offers may be single-use, limited-time, recurring/continual, or special (e.g., birthday offers), and may include party-size requirements (one person, two people such as BOGO offers, or group activities) as defined by the Merchant.
Offers may require you to complete redemption within a defined time window (for example, a timer) and to present the active redemption screen to the Merchant during that window.
You will follow all Offer Terms and the Offer Rules of Use at the time you redeem an offer.
You also agree not to misuse the Service or offers, including attempting to redeem more than allowed, circumventing redemption rules or timers, using altered screenshots or copied codes, reselling offers, or otherwise engaging in fraud. Misuse may result in lost access, cancellation, or account termination.
Merchant responsibility: Merchants are responsible for honoring valid offers according to the Offer Terms and the Offer Rules of Use. GoodPass is not responsible for Merchant products or services, including quality, safety, pricing, hours, staff decisions, or legal compliance. Any dispute regarding a Merchant transaction is between you and the Merchant.
6) Prohibited Conduct
You agree not to:
Use the Service for unlawful, fraudulent, deceptive, or abusive purposes.
Circumvent redemption rules or access controls.
Copy, scrape, reverse engineer, interfere with, or disrupt the Service.
Attempt unauthorized access to accounts, systems, or data.
Use the Service in any way that infringes the rights of GoodPass, Merchants, or others.
7) Intellectual Property
The Service (including software, designs, logos, trademarks, and content we provide) is owned by or licensed to GoodPass and is protected by intellectual property laws.
You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial use, subject to these Terms.
8) Third-Party Services
The Service may integrate with third-party services (including payment processing, analytics, and infrastructure providers). Your use of third-party services may be subject to their own terms and policies.
9) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODPASS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that offers will always be available, that Merchants will always honor offers, or that the Service will be uninterrupted or error-free.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODPASS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODPASS’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO GOODPASS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING), UNLESS A DIFFERENT LIMIT IS REQUIRED BY LAW.
11) Indemnification
You agree to indemnify and hold harmless GoodPass from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Service, violation of these Terms, or violation of any law or third-party rights.
12) Dispute Resolution, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
A. Informal Resolution First
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at Support@thegoodpass.comand providing: (1) your name, (2) the email tied to your account, (3) a description of the issue, and (4) what you want. If we can’t resolve within 60 days, either party may proceed.
B. Binding Arbitration
Except as described in “Exceptions” below, you and GoodPass agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration, not in court.
The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable rules, including any consumer arbitration rules that apply to the dispute. If AAA is unavailable or declines to administer the arbitration, the arbitration will be administered by JAMS under its applicable rules.
C. Location / Venue
Unless you and GoodPass agree otherwise, the arbitration will take place in Jackson County, Oregon, and may be conducted remotely where permitted by the arbitrator and rules.
D. Exceptions (Small Claims / Injunctive Relief)
Either party may:
Bring an individual claim in small claims court if it qualifies, or
Seek injunctive or equitable relief in court for misuse of intellectual property, unauthorized access, or other security-related harm.
E. Class Action Waiver
You and GoodPass agree that disputes will be brought only on an individual basis. This means no class actions, collective actions, private attorney general actions, or representative proceedings. The arbitrator may not consolidate claims or award relief for anyone not a party to the arbitration.
F. Arbitration Opt-Out (30 Days)
You may opt out of arbitration within 30 days of first accepting these Terms by emailing Support@thegoodpass.comwith the subject line “Arbitration Opt-Out” and providing your name and the email associated with your account. Opting out will not affect your use of the Service, but disputes will then be handled in court as described below.
G. Governing Law
These Terms are governed by the laws of the State of Oregon, excluding its conflict of laws rules, and the Federal Arbitration Act will govern the arbitration provision where applicable.
13) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice as required by law. Continued use of the Service after the effective date means you accept the updated Terms.
